1. GENERAL PROVISIONS

1.1. These Terms of Use (hereinafter referred to as the Terms) govern procedure for accessing the software platform and services SHAI.PRO, and define the rights and obligations of the Private Company "SHAI Ltd." (hereinafter - The Company) and the person using the Platform and/or Services (hereinafter referred to as User).

1.2. Using the Platform SHAI.PRO, including,but not not limited to registering, logging in to your personal account, uploading data, or a different interaction with the Platform's functionality means full and complete interaction with the Platform's functionality. the User's unconditional consent to these Terms and Conditions.

1.3. The User confirms that before the start of use The Platform has read these Terms and Conditions, as well as other Terms and Conditions. mandatory Company documents posted on the official website https://shai.pro, and accepts them in full.

1.4. In case of disagreement with these Terms, the User is obliged to stop using the Platform and Services.

1.5. The use of certain Services of the SHAI Platform may be governed by special terms, appendices and/or other documents published on the official website https://shai.pro, including in the "Documents" section. Such documents constitute an integral part of these Terms and apply to the User when using the relevant Service. In the event of any inconsistency between these Terms and such special documents, the special documents shall prevail with respect to the relevant Service.

2. TERMS AND DEFINITIONS

2.1. The Company – Private company "SHAI Ltd.", registered in accordance with the legislation of the Republic of Kazakhstan.

2.2. The Platform shai.pro – software and hardware complex, accessible via the development https://shai.pro site, introduction and use of digital technologies and AI-solutions.

2.3. Services – platform functionality SHAI.PRO, including software products, modules, tools, interfaces, and related services, provided by The company.

2.4. User – an individual, individual entrepreneur, or legal entity who uses the Platform and/or Services for their own benefit or on behalf of an organization, if authorized to do so

2.5. Data Processing Mode – the procedure for processing User data determined by the functionality of a Service and the conditions of the selected subscription plan, including the location of the processing infrastructure and the list of involved partners.

3. RIGHT TO USE THE PLATFORM

3.1. The Company grants the User the right to use the Platform and Services within their functionality and under the terms of these Terms.

3.2. These Terms and Conditions are a public offer in accordance with the legislation of the Republic of Kazakhstan. Any actual use of the Platform or Services is considered acceptance of the Terms.

3.3. The Company has the right to change, develop and update the Platform and Services, including their functionality, architecture and interface, without prior agreement with the User.

4. REGISTRATION AND ACCESS

4.1. To use individual Services, you may need to register and create a personal account.

4.2. The User undertakes to provide reliable and up-to-date information and update it in a timely manner when it changes.

4.3. All actions performed using the User's credentials and/or personal account are considered committed by the User.

4.4. The User is responsible for the safety of their credentials and undertakes to immediately notify the Company of unauthorized access.

5. USE OF THE PLATFORM AND USER RESPONSIBILITIES

5.1. The User undertakes to use the Platform and the Services:

exclusively for legitimate purposes;

in compliance with the requirements of the legislation of the Republic of Kazakhstan;

without violating the rights and legitimate interests of the Company and third parties.

5.2. The User is prohibited from:

attempting unauthorized access, interfering with the operation of the Platform, or circumventing technical restrictions;

use the Platform to distribute malicious code, illegal content, or actions that violate information security.;

transfer access to the Platform to third parties without the Company's consent, unless otherwise stipulated by the agreement.

5.3. The User shall be solely responsible for the legality of uploading to the Platform any data and materials containing information about third parties, including recordings of meetings and conversations, voice data, images, documents, personal data of participants, and any other user content.

By uploading such data, the User represents and warrants that all necessary consents from personal data subjects have been obtained or that another lawful basis exists for uploading, transferring and processing such data through the Platform, and that the User complies with all applicable laws.

The Company does not initiate the upload of such data, does not determine its content and does not perform prior legal review thereof, unless otherwise expressly required by law, agreement or the functionality of a particular Service. The User shall bear sole responsibility towards third parties for the legality of uploading, transferring and using such data.

6. USER CONTENT AND DATA

6.1. The User retains the rights to the data and materials uploaded or processed using the Platform.

6.2. The User grants the Company the right to process such data solely for the purpose of providing the Services, ensuring their functioning, information security, and fulfilling the Company's obligations.

6.3. Personal data processing is carried out in accordance with the Privacy and Personal Data Processing Policy available at https://shai.pro/en/documents?tab=privacyPolicy and taking into account the specifics of the Data Processing Mode applicable to the selected Service (Clause 6.4).

6.4. Data Processing Modes. Services of the Platform are provided under one of the following data processing modes:

6.4.1. Cloud Mode. User data is processed within cloud infrastructure, with the possible involvement of the Company's partners whose infrastructure may be located outside the Republic of Kazakhstan. By using Services provided in Cloud Mode, the User consents to the cross-border transfer of data solely for the purpose of providing the Services. The list of Services and subscription plans available in Cloud Mode, as well as detailed processing conditions, are specified in the "Cloud Services Terms of Use" Appendix.

6.4.2. Sovereign Mode. User data is processed exclusively on infrastructure located within the territory of the Republic of Kazakhstan. No cross-border transfer of data is carried out under this mode. The list of Services and subscription plans available in Sovereign Mode, as well as detailed processing conditions, are specified in the "Sovereign Services Terms of Use" Appendix.

The User independently selects the applicable Data Processing Mode by choosing the relevant Service and/or subscription plan and is responsible for ensuring that the selected mode complies with the requirements applicable to the User's activities.

7. INFORMATION SECURITY AND CONFIDENTIALITY

7.1. The Company takes organizational and technical measures to protect information in accordance with the requirements of the legislation of the Republic of Kazakhstan and internal regulatory documents of the Company.

7.2. Information security is provided in accordance with:

Information Security Policy of the Private Company "SHAI Ltd.";

Information Security Event Logging Policy;

other documents of the Company in the field of information security.

7.3. The User undertakes to comply with information security requirements when using the Platform.

8. INTELLECTUAL PROPERTY

8.1. Exclusive rights to the Platform SHAI.PRO , the program code, architecture, algorithms, databases, design and other elements belong to the Company.

8.2. The use of the Company's intellectual property objects is carried out in accordance with these Terms and Conditions and the Company's Intellectual Property Rights Protection Policy.

9. LIMITATION OF LIABILITY

9.1. The Platform and Services are provided on an "as is" basis.

9.2. The Company does not guarantee uninterrupted and error-free operation of the Platform, as well as the compliance of the Services with User expectations.

9.3. The Company is not responsible for direct and indirect damages, lost profits, loss of data or other consequences resulting from the use or inability to use the Platform and Services, unless otherwise provided by the legislation of the Republic of Kazakhstan.

9.4. The Company is not responsible for the decisions and actions of the User made based on the results of the AI functionality of the Platform.

9.5. The results generated by the Platform are provided to the User for use for their own purposes.

9.6. The company retains the rights to:

generation algorithms;

the architecture of the models;

data processing methods.

9.7. The user does not acquire rights to training data, model weights, operation logic, and technical solutions.

9.8. The Company has the right to use depersonalized interaction data to improve the Service.

10. TERMINATION OF USE

10.1. The User has the right to stop using the Platform at any time.

10.2. The Company has the right to restrict or terminate the User's access to the Platform in case of violation of these Terms, legal requirements or internal Company policies.

10.3. The Company has the right to unilaterally, without prior notice:

temporarily suspend access;

limit functionality;

block your account;

in case:

violation of Conditions;

unauthorized access;

suspicion of illegal activity;

late payments;

11. APPLICABLE LAW AND DISPUTE RESOLUTION

11. The legislation of the Republic of Kazakhstan applies to these Terms and Conditions. Disputes are resolved in accordance with the procedure established by the legislation of the Republic of Kazakhstan.

12. FINAL PROVISIONS

12.1. The Company has the right to make changes to these Terms and Conditions. The current version of the Terms is posted on the website https://shai.pro.

12.2. These Terms shall be applied together with other Company policies, documents and Appendices published at https://shai.pro/en/documents, including the Privacy and Personal Data Processing Policy, the "Cloud Services Terms of Use" Appendix and the "Sovereign Services Terms of Use" Appendix.
